Terms of Service

Please read these Terms of Service (“Terms”) carefully before using Stayantra, operated by Nexalaris Tech Pvt. Ltd. (“Nexalaris”, “we”, “us”). By accessing or using the Service, you agree to be bound by these Terms.

1. Description of Service

Stayantra is an AI-native Hotel Property Management System (PMS) that provides hotel owners and managers with tools including booking management, dynamic pricing recommendations, staff task dispatch, financial reporting, and AI-assisted operations (“Co-Pilot” and “Auto-Pilot” modes). The Service is offered as a subscription software-as-a-service (SaaS) product.

2. Eligibility & Account Registration

You must be at least 18 years of age and have the legal authority to operate or manage a hotel property to use this Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You agree to provide accurate, current, and complete information during registration and to keep that information updated. Nexalaris reserves the right to suspend or terminate accounts with inaccurate information.

3. Subscription & Payment

Access to certain features of Stayantra requires a paid subscription. Subscription fees are billed in advance on a monthly or annual basis. Payments are processed via Stripe (for USD billing) or eSewa/Khalti (for NPR billing). All fees are non-refundable except as expressly stated herein or required by applicable law.

Nexalaris reserves the right to modify subscription pricing upon 30 days' advance notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

4. AI Features — Co-Pilot & Auto-Pilot

Stayantra's AI features are intended to assist hotel management decisions, not replace human judgment. In Co-Pilot mode, AI recommendations require your explicit approval before any action is taken. Auto-Pilot mode (which executes actions autonomously) is only enabled after a sustained approval rate threshold is met and with your explicit opt-in.

You acknowledge that AI recommendations may be imperfect. Nexalaris is not liable for business outcomes resulting from decisions you make using AI-generated insights. You retain full responsibility for your hotel operations.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorised access to any part of the Service or its infrastructure
• Interfere with or disrupt the integrity or performance of the Service
• Reverse engineer, decompile, or disassemble any part of the Service
• Upload or transmit malicious code, viruses, or any other harmful software
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Resell or sublicense access to the Service without prior written consent from Nexalaris

6. Your Data

You retain ownership of all data you input into Stayantra (“Your Data”). By using the Service, you grant Nexalaris a limited, non-exclusive licence to store, process, and use Your Data solely to provide and improve the Service. We do not sell Your Data to third parties.

You are responsible for the accuracy, legality, and appropriateness of Your Data, including any guest data you upload or process through the Service.

7. Intellectual Property

The Service, including its software, design, trademarks, and content, is owned by Nexalaris and protected by intellectual property laws. These Terms do not grant you any rights to use Nexalaris's trademarks, logos, or branding without prior written permission.

8. Third-Party Integrations

Stayantra integrates with third-party services including OTA platforms (Booking.com, Agoda via Channex.io), payment gateways (Stripe, eSewa, Khalti), and AI providers. Your use of these integrations is subject to the respective third-party's terms and privacy policies. Nexalaris is not responsible for the practices of these third parties.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Nexalaris shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use the Service. Nexalaris's total cumulative liability shall not exceed the fees paid by you in the three months preceding the claim.

10. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, express or implied. Nexalaris does not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

11. Termination

Either party may terminate these Terms at any time. You may cancel your subscription through the dashboard settings. Nexalaris may suspend or terminate your account for breach of these Terms, non-payment, or for any other reason with reasonable notice. Upon termination, your right to use the Service ceases immediately.

12. Governing Law

These Terms are governed by the laws of Nepal. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in Kathmandu, Nepal.

13. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or a notice within the Service. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
